Senior Legal Counsel
Scope of Position : The incumbent will be responsible for reviewing, qualifying, and negotiating major contracts, including but not limited to FEED contracts, FPSO leases, operations and sales, large mooring systems, and related products, as well as associated documents (bank guarantees, corporate guarantees). The incumbent will also prepare and negotiate cooperation agreements, confidentiality agreements, and shareholder agreements. In close coordination with Group Insurance and Group Tax, the incumbent will liaise with internal and external insurance and tax experts on international tenders, contracts, and other contractual documents.
Responsibilities :
- Provide legal advice and support in relation to company governance, contractual, regulatory, and contentious matters.
- Prepare and negotiate commercial and legal documents, including licenses, joint venture agreements, divestments, and product sales agreements.
- Manage relationships with key external stakeholders on legal matters.
- Support the evaluation of opportunities and due diligence efforts in the acquisition of new assets.
- Manage the legal strategy of any litigation matters and liaise with appointed external consultants and solicitors to ensure the company’s interests are protected.
- Negotiate Supply Chain and Procurement contracts, handling all contractual and commercial issues arising from contracts and procurement.
- Provide legal advice and support to various client groups such as Commercial, HR, Operations, Tax, and Finance.
- Stay apprised of applicable legislative changes and update internal stakeholders, policies, and contracts as required to ensure compliance with regulatory requirements.
- Work closely with Group Secretarial and Board Governance in organizing the company’s board meetings, reviewing board papers, drafting minutes of meetings, and managing the timely fulfillment of all company secretarial tasks.
- Advise applicable stakeholders of the company’s legal rights and obligations, provide advice on ethics compliance, and all subjects addressed by PETRONAS Code Of Business Ethics (CoBE)
- Coordinate internal and external resources regarding transactions and company activities, including litigation, dispute resolution, and regulatory matters.
- To ensure legal costs are at optimum levels
- Identify and communicate legal risks to ensure the interests of the company are always protected.
Required Competencies:
- Leadership – Demonstrate experience and ability in leadership roles
- Legal Knowledge: Extensive understanding of corporate law, contract law, intellectual property, regulatory compliance, and mergers & acquisitions
- Legal Research and Analysis: Proficiency in conducting thorough legal research and analyzing complex legal issues to mitigate and/or manage legal risks
- Commercial Knowledge – Strong commercial acumen with the ability to understand and apply commercial principles in legal contexts
- Contract Management: Expertise in drafting, reviewing, and negotiating contracts
- Litigation: Experience in managing litigation processes and dispute resolution
- Regulatory Compliance: Knowledge of relevant laws and regulations, ensuring the organization’s compliance
- Document Preparation: Skill in preparing legal documents, including pleadings, briefs, and memoranda
Required Experiences:
15 years of experience in Practice and Corporate Environment. Experience in the oil and gas industry as a lawyer and/or in-house legal counsel will be advantageous.
Required Qualification :
- Possess Bachelor Degree in Law (LLB) or equivalent from reputable universities
- Certificate in Legal Practice – CLP will be an added advantage
